The Associate Director will be a key member of IAAS and will have responsibility leading and supporting both Internal Controls over Financial Reporting (ICFR – i.e., Sarbanes Oxley, Model Audit Rule and FDICIA) and Service Organization Control reports (SOC) governance programs.

The Associate Director is responsible, in coordination with the CAE and IAAS Directors, for supporting the overall management, benchmarking and improvement of IAAS from both a strategic and operational level including monitoring and implementation of industry “best practices”.   The Associate Director is expected to develop and share their expertise with others throughout the Company to ensure excellence and consistency in internal controls and processes.  This individual will both lead and support, in partnership with the CAE and IAAS Directors, the function through a transformation to become a value-added service provider. 

                                                          

Key Responsibilities

 

The Associate Director, ICFR and SOC governance, principle responsibilities include:

 

       - Execute upon the vision, mission, strategies and annual goals for the department in alignment with the Company's goals.


 


       - Develop and maintain strong relationships, built upon credibility and trust, with senior business leaders.


 


       - Support the effort to recruit top tier talent into the department, develop and train these individuals into a high performance team who provide superior business advisory and control   consulting services.  Ensure team members have the appropriate training and resources, and demonstrate the utmost in ethics and integrity.


 


       - Develop and maintain a collaborative, value-added assurance and advisory co-sourcing relationship with the Ernst & Young team, leveraging access to necessary subject matter expertise as well as managing quality of services provided.


 


        - Active two-way participation in senior management meetings and/or committees to ensure the team is well-informed of key business developments that could have an impact on corporate or department priorities and/or plans.


 


        - Work closely with the external auditors and other oversight functions (Legal, Risk Management, Compliance, etc.) to maximize the service value proposition and ensure proper coordination and leverage, in assessing the internal control structure.


 

 

ICFR and SOC Governance

        -  Lead the Company's Sarbanes-Oxley Section 404 compliance efforts including scoping, control definition, self-assessment certification, coordination of management testing, coordination of testing and results with external auditors, training and results reporting.

 

        -  Lead the Company's Model Audit Rule Section 16 compliance efforts, including scoping, control definition, self-assessment certification, coordination of management testing, coordination of results with external statutory auditors, training and results reporting.


 


        -  Lead Optum Bank's, a subsidiary of the Company, FDICIA Section 363 compliance efforts, including oversight of scoping, control definition, self-assessment certification, coordination of management testing, coordination of testing with external auditors, training and results reporting.


 


       -  Govern the Company's SSAE 16 program including negotiating contracts with external auditor firms and testing coordination, review results for reporting and trending, business case review and sign-off for newly proposed SSAE 16 requests, monitoring and implementing new regulatory guidance in coordination with the external audit firms and the business owners.


 


       -  Interact with the external auditors and others to develop a network of peers to stay current on trends, rules, regulations in the industry and profession which may require adjustments or revisions to the current programs.

 

       -    Support other IAAS activities, as appropriate and as requested by leadership.  Examples include:

                              -    Support/lead testing

                              -    Merger & Acquisition (M&A) audits and due diligence activities

                              -    Implementation of new COSO framework

                              -    Other

Requirements

Basic Qualifications:


 


-  Bachelor's degree in Accounting or related field


 


- Proven leadership with a minimum of 10 years of auditing experience, including at least 5 years in a managerial capacity.


 


-  2 plus years of proficient SOX experience  


 


- Qualified candidates should have excellent leadership skills, strong technical audit skills including IT audit and insurance institution knowledge, excellent project management and communication skills, as well as a sense of purpose and drive to help the Company manage its risks and opportunities with passion to develop a world class audit and advisory function.


 


- Proven experience leading large audit teams in public accounting and/or internal audit department of a large, complex organization


 


- Proven experience building strong relationships with executive management and leadership teams, regulators, external auditors, and other key stakeholders.



- Proven experience with successfully directing and implementing change initiatives despite potential resource constraints, competing priorities, or other challenges.



- Excellent business and communication skills with the ability to focus on the big picture, understand key priorities, communicate clearly and concisely, and bring business acumen to leading the IAAS function.


 


- Strong technical accounting, business, and auditing background


 


- Ability to work effectively with leaders of other oversight functions (i.e., Compliance, Risk Management, Legal, etc.) in collaboration to maximize risk coverage and minimize duplication within UnitedHealth Group.


 


Preferred Qualifications: 



-  Graduate education such as Masters in Accounting or Internal Audit or Business Administration is



- A professional certification in public accounting or internal auditing is strongly recommended (i.e., CPA, CIA, CISA, CFE, etc.).


 


-  MAR, FDICIA and/or SOC proficiency/knowledge and experience
