ESSENTIAL FUNCTION:
The Associate General Counsel is primarily responsible for drafting, reviewing and negotiating a wide range of general commercial and corporate contracts as required by the company's business units. The Associate General Counsel is also responsible for assisting the General Counsel (GC) with other day-to-day legal matters, including regulatory, corporate, employment, litigation, marketing, data security, privacy, governance and board-related matters. This role will require interaction with a wide range of internal and external contacts, including senior management, and requires excellent communication and people skills. This role also requires the ability to work independently and to simultaneously manage multiple complex projects in a fast-paced environment. This position will report to the VP, General Counsel.

PRIMARY DUTIES AND RESPONSIBILITIES:
•Review, draft and negotiate a wide range of commercial and corporate contracts for various business units (including technology licenses and confidentiality, services, distribution, purchase and finance agreements)
•Develop standard form agreements and advise clients with respect to their efficient use
•Assist GC in managing company litigation (e.g., employment, personal injury, products liability, etc.)
•Review marketing collateral
•Assist GC with SEC filings
•Advise HR team on employment issues
•Advise clients on a broad range of legal issues impacting the business
•Other duties as assigned by the GC

Requirements:
MINIMUM QUALIFICATIONS:
•Juris Doctor (J.D.) degree from an accredited law school, with strong academic credentials.
•Licensed to practice law in Indiana (active and in good standing)
•5+ years of relevant law firm and/or in-house experience
•Strong contract drafting and negotiation skills; emphasis on technology transactions strongly preferred
•A thorough understanding of one or more relevant areas of law applicable to the business including, without limitation, corporate and transactional law, marketing and advertising law, litigation and/or labor and employment law
