Description: As Director of Mergers & Acquisitions you will play a key senior role and lead in cultivating and executing on transactions that support the growth strategy of The MENTOR Network, a $1.3B revenue company in health and human services. This is an exciting time to join the Mergers & Acquisitions team as we have an ambitious growth strategy, and we seek a driven leader to help meet those growth goals. Responsibilities: Identify, and develop relationships with appropriate acquisition candidates that support the growth strategy of the Company. Provide leadership and guidance in the following areas of M&A: Vetting with internal business leaders to ensure acquisition candidates are on-strategy and attractive targets to pursue. Directing “outreach” contact to Sellers. Overseeing Auction processes with Investment Bankers. Creating valuation models, both pre and post the due diligence process. Developing analysis and projections of financial impact. Generating non-binding Letters of Intent (LOI). Organizing and leading internal due diligence meetings with various functional representatives. Managing all functional due diligence processes. Negotiating Asset Purchase Agreements (APA) and Stock Purchase Agreements (SPA). Identifying and leveraging “Lessons learned” on previously completed transactions. Analyzing post-acquisition financial performance “look backs.” Responding to deeper analysis requests by Leadership, the M&A team, and/or Civitas Executive Management. Participate in the acquisition integration process to include the formulation of integration plans and synergy capture plans. Qualifications Required Skills: A minimum of twelve (12) years of professional financial experience, of which at least five (5) years has been spent in a dedicated M&A Advisory or Transaction Services environment (including, buy side and sell side transaction support to private equity and “strategic” clients). Strong working knowledge and application of the technical accounting areas of US GAAP. Experience compiling and directing the design, creation and maintenance of financial due diligence reports, including Quality of Earnings (“Q of E”), identification and assessment of financial risks, and balance sheet and cash flow analysis. Strong understanding of financial statements, financial modeling and valuation concepts. Ability to establish rapport with “Mom & Pop” owners on smaller transactions; manage relationships throughout deal process and timeline. This includes the ability to exhibit excellent “soft skills” and the willingness to work closely with small business owners throughout the due diligence. Proven ability to construct robust financial models that include Discounted Cash Flow (“DCF”) analysis, sensitivity scenarios, Internal Rate of Return (IRR), Return on Invested Capital (ROIC), etc. Attention to detail and ability to work independently in a fast-paced work environment. The ideal candidate will be capable and comfortable working in a deadline driven setting. Proven project management, organizational and communication skills, as well as, a sense of urgency and personal drive to help Civitas effectively and efficiently execute on transactions. Experience on purchase agreement negotiations or experience in supporting aspects of purchase agreements including Net Working Capital (NWC) analysis, etc. Comfortable leading multi-discipline teams in a matrixed environment. Ability to formulate creative approaches, stimulate thinking on growth and diversification and translate concepts into practical action plans. Employs a collaborative style and has the ability to work towards consensus oriented decision making. Excellent communication and presentation skills. Desired: Prior experience interacting and working directly with C-level management. Executive presence, professional gravitas, and highly effective communication / presentation skills. Outside of financial skills, possesses strong general business acumen. Human services and/or healthcare background are a plus. Education and Professional License Requirements: Bachelor’s Degree is required. CPA is required. MBA, with a concentration in Accounting, Finance or Business/Management, is desired.
