The Mergers & Acquisitions Department (M&A) is responsible for structuring and executing a wide range of complex domestic and cross-border transactions including acquisitions, divestitures, mergers, spin-offs, joint-ventures, asset swaps and defenses against unsolicited takeover attempts. The group works in close partnership with the firm's Industry Coverage groups including (but not limited to) Healthcare, Consumer & Retail, Transportation, Industrials and Business Services.

Key responsibilities

* Drafting marketing materials

* Participating and organizing management presentations

* Engaging in negotiation activities

* Conducting due diligence and supervising a team of analysts and associates.

Advanced quantitative skills are required to analyze and evaluate financial models, mergers and acquisitions pro forma impact analysis as well as apply principles of corporate finance theory to financial valuation.

The role also entails managing projects in a client-facing role, including liaising with potential buyers, clients, clients' legal counsel, other advisors, and team members from across Morgan Stanley including Equity Capital Markets and Debt Capital Markets to provide guidance on capital structure and merger impact analysis.

* Master's degree in Business Administration, Finance, Economics, Accounting, Mathematics or related field or foreign equivalent

* At least three (3) years of investment banking experience providing strategic advice to and executing strategic transactions for U.S. and multinational corporate clients.

* Previous experience with financial market data tools, software and programs including CapitalIQ, ThomsonOne, Bloomberg, SharkRepellant, and Intralinks.

* Bachelor's degree in Business Administration, Finance, Economics, Accounting, Mathematics, or a related field or foreign equivalent

* Six (6) years of progressively responsible experience in the areas listed above.

* Any suitable combination of experience, education, or training is acceptable.
