Position Title: Senior Counsel
Position Description/Job Responsibilities
Functional job responsibilities will include but are not limited to:
* Mergers & Acquisitions
* Negotiating NDAs, diligence processes, general familiarity with the full spectrum of other M&A activities, and
* Assist in legal due diligence (reviewing liabilities of target company, reviewing contracts of target company, etc.)
* Draft and/or review purchase agreements, non-compete agreement, employee agreements, etc.
* advise on how to structure the company post acquisition/merger (divestitures, spin-offs, subsidiaries, etc.)
* Advise on how best to structure financing
* may work with other attorneys to seek regulatory approval for the deal, if necessary (e.g., Anti-trust issues)
* Advise on the legal ramifications of the merger, sale, and changing corporate structures, benefits plans, layoffs, etc. (but probably interfacing with other attorneys who specialize in these areas) -- Tax, ERISA, Executive Compensation, Labor, Environmental, Government Contracts, Real Estate, Securities, etc.
* Corporate Secretary office functions
* Drafting and reviewing resolutions and board materials;
* International registrations -- not required but desirable to have some experience working on international registrations of foreign subsidiaries or branches.
* Public company -- SEC reporting
* Drafting and reviewing the associated documents for quarterly/annual reporting of earnings including earnings releases, scripts and earnings release presentation slides;
* Corporate Governance/Securities Advice -- Experience in advising on complying with SEC and NYSE public company requirements
Requirements/Qualifications
* JD required and TX licensed
* 10 years of experience
* Strong communicator with employees of all levels
* Ability to establish and maintain credibility and trust throughout organization
* Ability to quickly assimilate information relating to complex issues
* Personal and professional maturity
* Organizational knowledge
* Working knowledge of applicable laws and regulations
* Discreet, able to protect confidential information and high degree of integrity
