A global boutique firm is seeking an experienced Paralegal to support attorneys in securities and M&A transactions. This role requires strong organizational skills, attention to detail, and the ability to support complex, cross-border legal matters.

Responsibilities

Securities & Corporate Support

  • Assist in preparing SEC-related filings, including registration statements, annual/quarterly reports, current reports, proxy and information statements, and insider reports.
  • Support drafting and organizing materials for IPOs, PIPEs, ATMs, and other offerings.
  • Maintain and organize client records, transaction documents, and correspondence.
  • Coordinate with underwriters, issuers, and regulators to support transaction execution.

M&A Support

  • Assist with due diligence, including document collection, review, and organization.
  • Prepare closing checklists, signature pages, and transaction binders.
  • Support attorneys with drafting and reviewing deal documents.
  • Track timelines and deliverables for active transactions.
  • Liaise with clients and counterparties to facilitate smooth deal execution

Qualifications

  • Bachelor’s degree required; ABA-approved paralegal certificate preferred.
  • 7+ years of experience as a paralegal in securities and/or M&A.
  • Proficiency with SEC EDGAR and corporate databases a plus.
  • Strong organizational, research, and communication skills.
  • Proficiency with Microsoft Office Suite.
  • Ability to work independently and as part of a team.
  • Willingness to work overtime as needed.
  • Basic Mandarin proficiency is a plus.
