Associate Attorney - Transactional
Position Overview
We are seeking a diligent and businessminded Associate Attorney Transactional to join our corporate practice group. The associate will support and lead complex corporate and commercial transactions, provide strategic legal advice to clients, and manage deal execution from diligence through closing. This role requires strong technical skills in transactional law, excellent drafting and negotiation capabilities, and the ability to work across multidisciplinary teams on domestic and crossborder matters.
Key Responsibilities
- Advise clients on a broad range of corporate and commercial transactions, including mergers & acquisitions, joint ventures, private equity and venture capital investments.
- Draft, review, and negotiate complex commercial agreements, including purchase agreements, licensing agreements, financing documents, shareholder and investor agreements, and commercial contracts.
- Lead and coordinate legal due diligence processes, prepare diligence reports, and identify and manage legal risks and mitigations.
- Counsel clients on corporate governance matters, shareholder relations, compliance with securities laws, and regulatory obligations.
- Structure and execute financing transactions, including debt and equity financings, convertible instruments, and related documentation.
- Assist with corporate restructurings, entity formation and structuring, and taxefficient transaction planning in collaboration with tax advisors.
- Provide counsel on restrictive covenants, noncompete agreements, employmentrelated transactional issues, and integration arrangements.
- Support crossborder transactions, coordinating with foreign counsel on jurisdictional issues, regulatory approvals, and antitrust/competition compliance.
- Manage multiple matters and clients simultaneously, including project management of transaction timelines, internal delegation, and budgetary responsibility.
- Conduct legal research and draft clear, persuasive legal memoranda, client letters, and closing deliverables.
- Mentor and supervise junior lawyers and paralegals on transactional matters, review work product, and contribute to knowledge management and process improvement initiatives.
- Collaborate with deal teams, business development, and client relationship managers to identify opportunities, participate in pitch work, and support client retention and growth.
Qualifications
- Juris Doctor (JD) degree from an accredited law school and admission to the WSBA.
- 3+ years of experience in a top law firm or inhouse corporate legal department with a focus on transactional matters (M&A, securities, corporate finance, private equity, or venture capital).
- Demonstrated experience drafting and negotiating purchase agreements, financing documents, shareholder agreements, licensing agreements, and commercial contracts.
- Proven experience conducting detailed due diligence and managing closing processes for complex transactions.
- Strong knowledge of corporate governance, securities law, regulatory compliance, and antitrust/competition considerations in transactional contexts.
- Comfortable advising on tax structuring, entity formation and restructuring in collaboration with tax advisors and accountants.
- Excellent legal research, risk assessment, project management, and document drafting skills, with a high level of attention to detail.
- Exceptional oral and written communication skills; ability to explain complex legal concepts clearly to business stakeholders.
- Demonstrated ability to lead deal teams, meet tight deadlines, and manage multiple priorities in a fast paced environment.
- Familiarity with commercial real estate aspects related to corporate transactions and licensing agreements is a plus.
- Experience with private equity, venture capital, joint ventures, and financing transactions strongly preferred.
- Track record in negotiating restrictive covenants and employment related transactional provisions advantageous.
- Proficiency with legal technology and document management systems; commitment to process improvement and knowledge sharing.
