    The Opportunity:
    • The Senior Counsel will help lead the Change Healthcare law department to become a world-class high-performing organization.
    • The Senior Counsel manages legal business matters about the Sales and Operations business unit and the organization. Provides a variety of general corporate and commercial legal services to in-house clients. Acts as an advisor on legal issues involving the organization's government and regulatory compliance. Reviews legal data and advises the organization on appropriate legal action to be taken. Coordinates legal matters handled by outside counsel. Demonstrates experience in general corporate matters
    Key Relationships:
    • Reports to: Managing Senior Counsel
    • Direct Reports: 2- Counsel roles
    Business Metrics:
    • Handle transactions across a broad spectrum of payer and provider products. Effectively work with existing colleagues in a team-driven approach. Interact with senior executives. Appropriate update Managing Senior Counsel as appropriate.
    • The Senior Counsel will manage legal business matters about the several business units within the Software & Analytics organization.
    Specifically, the Senior Counsel will:
    • Provide a variety of general corporate and commercial legal services to in-house clients.
    • Act as an advisor on legal issues involving the organization's government and regulatory compliance.
    • Review legal data and advise the organization on appropriate legal action to be taken.
    • Coordinate legal matters handled by outside counsel.
    • Demonstrate experience in general corporate matters.
    • Support R&D and products & services development, including ensuring all regulatory and related privacy requirements and product & services claims (brochures, manuals, web descriptions) are met before products & services are released into production and maintained thereafter.
    • Support sales and channel management, including managing and supporting the creation of sales and channel agreement form contracts, negotiating transactions, and responding to RFP's.
    • Understand Business Unit partner and vendor needs and assist with negotiations of transactions.
    • Manage disputes and claims (pre-litigation), and assist the Corporate Functions Team with litigation management.
    • Coordinate with the Corporate Functions Team regarding investigations.
    • Coordinate with Corporate Secretary regarding mergers and acquisitions and divestitures.
    • Assist with legal and compliance integration for companies and joint ventures acquired by Business Unit.
    • Coordinate with Corporate Functions, Chief Privacy Officer, Chief Security Officer, and Chief Compliance & Ethics Officer in handling and responding to privacy incidents and investigations.
    • Develop Business Unit specific training on various legal and compliance topics.
    To fulfill these responsibilities, the Senior Counsel will:
    • Manage, develop and support all legal specialists and contract specialists and other assigned legal and compliance resources.
    • Manage the timeliness and effectiveness of the legal and compliance support provided by the legal specialists and contract specialists and other legal and compliance resources; change/modify support assignments or resources appropriately; seek feedback from Managing Senior Counsel and Business Unit recipients of legal and compliance support, and respond accordingly.
    • Meet and consult with all assigned legal specialists and contract specialists on a regular basis (both individually and in team meetings), and review, approve and provide guidance on complex legal and compliance matters, including ensuring consistency in legal and compliance advice; share feedback from recipients of legal support.
    • Meet and consult with the General Counsel, Managing Senior Counsel, and Chief Compliance & Ethics Officer on a regular basis to share insights, resource assignments and constraints, business/issue trends, and recommendations for enhancing the efficiency of providing legal services, risk mitigation, and related compliance efforts.
    • Escalate significant matters to the Managing Senior Counsel, and regularly update the Managing Senior Counsel on such matters.
    • Participate and assist with the budget process for the Business Unit.
    Additional Knowledge:
    • Ability to advise on legal issues dealing with trade secrets, advertising law, registration, and other resolutions which may include the computer and technology industry, healthcare and SEC reporting.
    • In-depth legal knowledge that allows for expeditious problem identification and resolution.
    • Notable business acumen dealing with risk management and organizational savvy.
    Critical Skills:
    • In-depth knowledge of corporate organizations.
    • Thorough knowledge of securities compliance.
    • Expertise in drafting transactional documents and technology license agreements.
    • Comprehensive understanding of new business/joint venture structures, regulatory matters, risk management, and contract management.

    • Aptitude to work well with larger teams on seeking efficiencies for legal support.
    • Ability to manage simultaneous projects in an efficient and timely manner.
    • Outstanding verbal and written communication skills and advanced knowledge of the law.
    • Expertise at managing and developing legal specialists and contract specialists, and building impactful and respected legal and compliance teams.
    The Individual:
    • Manage legal professionals including counsels, legal specialists and contract specialists across multiple geographies.
    • Track record of providing effective and timely advice and counsel to business leaders regarding complex contractual, healthcare and related compliance issues.
    • Experience in a broad array of healthcare legal, regulatory, and compliance issues.
    • Ability to navigate and work across multiple constituents to develop, communicate, and support a company's short-term and long-term business objectives.
    • Understands the difference between commercial sales contracts and complex government contracts.
    Growth and transformation:
    • Proven experience and expertise in leading a large and complex organization through a transformation from one of a largely independent stand-alone business unit to a more fully integrated and strategically aligned organization.
    Education:
    • Juris Doctor Degree from an ABA-accredited law school with excellent academic credentials; admission to practice in good standing as a member of a jurisdiction is required.
    Minimum Requirements:
    • 10 years or more of experience structuring, drafting, negotiating and closing complex legal transactions and handling regulatory issues.
    • Both law firm and in-house counsel experience preferred
    • Track record of leading, managing, and improving talent and company processes.
    • Exceptional business acumen and solid financial skills. A demonstrated track record active as an innovative thought leader and business partner to executives across multiple business units.
    • Understands and utilizes workforce analytics. Establishes clear goals and uses data and metrics to achieve best in class results and business goals. Strong track record of leading, managing, and improving people and processes.

    • Demonstrated success in providing strategic business guidance for emerging businesses.
    • Experience as a trusted business partner to business leaders working in a dynamic high fast-growth business and emerging solutions
