Senior Manager, Senior Counsel - Commercial Bank
The Role and the Team
A great opportunity exists for a detail-oriented, confident and experienced professional to join the legal team for Capital One's Commercial Lending business as a Senior Manager, Senior Counsel. The Commercial Bank legal team is a dynamic group of legal professionals who provide legal advice and support for a successful and growing business that provides financing to the Financial Institutions Group and the Commercial and Industrial Group, which includes Sponsor Finance, US Corporate, Diversified Industries and the Core Middle Market lending group. The Senior Manager role will involve interaction with internal business associates and with internal and external legal counsel.
This Senior Manager will be responsible for the following:
-Managing intake and review of non-disclosure and non-reliance agreements
-Providing deal support on complex financing transactions, including assistance with due diligence, closing checklists and deal document files.
-Managing and developing a group of outside counsel and a preferred provider program
-Representing Capital One at trade associations and being a leader in the lending and fund finance area from a regulatory and market perspective.
-Working seamlessly with Capital One's first class legal team to deliver to the customer cutting edge banking products.
-Working with Capital One's reputational risk and compliance associates to maintain a best in class compliance program in the business.
-Working with the business associates on foreign lending questions and developing an internal framework to lend to Capital One's US customers oversees.
-Maintaining an accurate portfolio breakdown
-Manage licensing for legal entities
-Manage form document libraries
-Coordinate with underwriting and operation functions on filing and termination of UCC; conduct periodic UCC audits
-Assisting attorneys with quarterly reports and other presentations
-Working with internal counsel and business clients to improve business practices and procedures
-Other tasks as needed by the legal department or business
Specific candidate competencies include, but are not limited to:
-Internal counsel experience in a financial institution preferred
-Strong organizational skills with impeccable attention to detail.
-The ability to prioritize and manage a significant volume of work on a broad array of topics with multiple and simultaneous deadlines is critical.
-Ability and willingness to work as a team player to manage efficient processes, to get issues resolved across organizational boundaries, and to build collegial and effective relationships with business leaders, attorneys, paralegals, project managers and administrative assistants at all levels of the company.
-Ability to work in a fast-paced environment with minimal supervision.
-Strong problem-solving and decision-making skills.
-Ability to manage complex processes and projects.
-Strong analytical, and oral and written communication skills, with the ability to influence others.
-At least 5 years experience with an in-house legal department or At least 5 years experience in a law firm or At least 5 years of combined experience within an in-house legal department and law firm
-7+ years of top tier law firm or in-house legal department experience in commercial lending transactions to including fund finance, asset-based, cash flow, and acquisition financings, as well as CLO financing and capital markets experience
-Experience with sponsor-backed finance transactions
-Knowledge of laws and regulations applicable to commercial lending
-Demonstrated ability to get issues resolved across organizational borders
