Enterprise Holdings' Corporate Legal Group has an immediate opening for the position of Corporate Counsel – Supply Chain Management reporting to the Assistant Vice President and Senior Counsel. Our new Corporate Counsel position will have the opportunity to provide critical support to various business divisions, including Enterprise Holdings' Supply Chain Management department, responsible for the organization's global procurement of goods and services. We deliver our legal services through highly matrixed, cross-departmental functional teams focused on particular specialities. The successful candidate will have the opportunity to collaborate with business stakeholders and colleagues in the Legal Group, the European Union, the United Kingdom and the US, working on projects globally as part of these cross-departmental functional teams.

Among other things, the Corporate Counsel will serve as trusted legal advisor to Supply Chain on all legal matters and assist in the further globalization of these efforts. In connection with the implementation of Enterprise Holdings' new procurement system, the successful candidate will help transform future state contracting efforts by creating and approving new contract templates and related guidance to drive efficiencies across all Enterprise Holdings' brands. The Corporate Counsel will play an integral role in providing guidance to Supply Chain on structuring, drafting, reviewing and negotiating a broad range of procurement agreements, including master service agreements, goods purchase agreements, technology agreements (e.g., software licenses, development agreements and SaaS agreements), solicitations and other complex legal documents. Further, in collaboration with subject matter experts in the Corporate Legal Group, the successful candidate will provide other legal services needed to support the Company's businesses.

This position is located at our Corporate Headquarters in Clayton, MO.

Responsibilities
  • Partner with internal stakeholders and other business partners on continual process improvements and guidelines
  • Assume lead role in structuring, drafting, reviewing, and negotiating business-critical contracts and ensuring they properly protect the company's interests and objectives
  • Clearly communicate or present (in writing or verbally) and advise decision makers on the risks and benefits of negotiating options and contractual provisions
  • Create and update procurement templates and clause libraries to meet evolving business objectives, minimize friction and protect Enterprise Holdings' interests
  • Identify, manage and assist in the resolution of legal issues in a manner consistent with the company's business philosophy and strategy, and in compliance with legal and regulatory requirements
  • Provide timely and accurate interpretations of the various laws and regulations affecting the company's businesses to senior management and operating personnel; keep them apprised of the types of action that require legal consideration and provide internal guidance regarding potential legal risk
  • Manage and assist clients with resolving all legal issues pertaining to various corporate, transactional, and regulatory matters in a manner consistent with Enterprise Holdings' business philosophy and strategy, and in compliance with legal and regulatory requirements
  • Prepare best practices and present training to various personnel throughout the organization
  • Partner with assigned functional areas and operating units to help drive the Company's business model and execute its strategies
  • Provide ongoing strategic planning, guidance and consultation regarding potential and actual disputes

Qualifications

Minimum:
  • Juris doctorate from an accredited law school
  • Must be authorized to work in the United States and not require work authorization sponsorship by our company for this position now or in the future
  • Five (5) or more years of relevant experience in a business law firm or in a corporate law department with a proven record of professional excellence and achievement
  • Significant transactional law experience, including drafting and negotiating complex contracts (experience with technology contracts preferred)
  • Broad generalist skill set with the ability to independently research and analyze issues
  • Admission to at least one state Bar in the United States is required, with the ability to qualify with the Missouri state bar
  • Intermediate level of proficiency with Microsoft Office Products (i.e. Excel, Word, PowerPoint, and Outlook)
