The Executive Compensation and Stock Plan Administration Manager will drive the design and implementation of executive and equity compensation programs. The position is responsible for the day-to-day management associated with these programs, stressing thought leadership in recognizing market trends and compliance adherence. The incumbent will conduct expert analysis and model various compensation approaches in support of senior management.

Using strong communication skills, the incumbent will present program and strategy materials to senior leadership on programs that have a direct impact on the attraction and retention of key talent across the organization.

This position requires analytical, problem solving and influencing skills, as well as a deep technical expertise in executive and equity compensation. This position is responsible for the administration of company stock related matters including grants, vesting schedules, exercise history, proxy disclosure and SEC filings.

This individual is also responsible for answering questions and addressing issues from company stock plan participants. The individual works closely with payroll with respect to employment and withholding taxes. The individual strives to ensure compliance with Sarbanes-Oxley, tax laws and related requirements, including keeping abreast of the changing regulatory and payroll tax environment for an evolving business. This role reports directly to the Vice President, Total Rewards and works closely with the Chief Human Resources Officer.

Essential Functions

  • Design and manage all elements of executive compensation, including cash and equity programs, ensuring integration and alignment of executive pay with overall company goals and objectives.
  • Monitors and integrates ongoing changes to legislative and regulatory compliance issues.
  • Provides up-to-date market intelligence on competitive executive compensation trends and practices.
  • Partners with executive recruiters to model and develop competitive offer packages for external executive hires.
  • Partners with the CHRO to prepare materials for the Compensation Committee of the Board of Directors which include competitive data analysis, plan design alternatives, officer compensation, director pay, and performance incentive plans.
  • Communicates compensation and equity plans to executives in all compensation elements, including base pay, incentive and equity plans.
  • Works closely with internal Legal, Finance, and Tax and Accounting business partners in the design and compliance of short and long term incentive plans.
  • Collaborate with the Finance, Legal and Corporate Governance teams in the development of the company’s annual proxy statement and other public filings.
  • Involved in planning and administering stock grants and stock related items. Works with Finance and Legal to establish guidelines for stock grants, policies and procedures.
  • Communicates plan provisions to employees
  • Daily, weekly, monthly, quarterly, and annual administration and reporting of stock plan transactions related to stock grants including Stock Options and Restricted Stock Units. This includes processing of stock transactions, grants, terminations, record keeping and report preparation.
  • Maintain the Equity Edge database, including ensuring data integrity while processing data transfers between Equity Edge, broker and transfer agent.
  • Work with vendors to ensure that trades are settled timely and transactions occur as required.
  • Prepares securities / stock related proxy tables and footnotes.
  • Monitor and enhance internal controls for Sarbanes-Oxley compliance; create SOPs for all equity processes and procedures.
  • Serves as the company expert on securities and tax regulations as applies to stock plan administration.  Ensures plans and grants including vesting and stock distribution meet requirements for applicable tax, securities and accounting treatment and exemption.

Knowledge, Skills and Abilities

  • 7-10 years of progressive experience and proven track record of success with a background in executive and equity compensation programs for a publicly traded company
  • Candidate must have a deep understanding of total compensation programs including base pay, short- and long-term incentives, executive benefits and perquisites.
  • Bachelors in Human Resources, Business, Finance or Accounting is required
  • Solid understanding of the external competitive market and the regulatory and compliance environment.
  • Strong financial background and business acumen.
  • Must be highly adept in critical/conceptual thinking skills, combined with the ability to synthesize information to see the big picture while effectively managing details.
  • Practical experience in modeling techniques using relevant software with ease with a focus on data integrity.
  • Manages projects end-to-end that is focused and results driven.
  • Organizational agility and ability to deal with ambiguity and adapt to change rapidly in time sensitive situations.Strong working knowledge of equity plans and Equity Edge Online and stock-based compensation reporting is required.
  • Excellent written and verbal communication, being able to turn complex analyses into compelling, straightforward management presentations.
  • Proven leader that inspires confidence and engenders trust in teams, while consulting and building effective working relationships with executives in a variety of functions.
  • Proven ability to partner with cross-functional teams, including Legal, HR, Tax, Payroll, Accounting and Financial Reporting is required.
  • Ability to research and handle confidential information in a professional and discreet manner. Strong attention to detail and accuracy is required.
  • Expert knowledge with SEC filings is required.
  • Strong proficiency with Microsoft Excel (complex formulas, pivot tables, v-lookups and other advanced functions).

Preferred Qualifications

  • Master’s Degree (Human Resources, Business or Finance)
  • CEP Level One or higher
  • WorldatWork Certified Compensation Professional (CCP) or Certified Executive Compensation Professional (CECP)
