About this job

Job Requirements

• Review, interpret, draft, revise, and negotiate basic terms in commercial contracts, including master services agreements, order schedules, supplier-side content and technology licenses, supplier-side consulting and services agreements and statements of work.

• Collaborate with various internal departments, including Procurement, Global Supply Chain, Sales, Finance and IT, to ensure accuracy and completeness of documents and compliance with company policies and risk tolerance.

• Respond to legal and contract requests from various internal departments, summarizing and communicating legal concepts, and advising on agreement structures, approval processes, company policies, and procedures with respect to commercial contracts.

• Review, summarize, and communicate legal contract terms.

• Assist with the creation and maintenance of standard form agreements to address a variety of situations.

• Draft and manage policies, procedures, and training in collaboration with other members of the Legal team.

• Assist with the maintenance of an electronic system for filing executed agreements and relevant correspondence for prompt retrieval and calendaring and tracking relevant dates.

Education and Experience

• Bachelor's Degree (5+ years of combined college education and work experience may be substituted for a degree)

• Minimum 5 years of relevant work experience, with at least 3 years of experience drafting and negotiating commercial agreements

Additional Qualifications

• Paralegal certificate preferred

• Thorough knowledge of contract law and able to immediately begin reviewing, drafting and negotiating basic commercial contracts.

• Able to confidently and independently lead contract negotiations, and to raise and discuss issues directly, with client and supplier representatives.

• Superior interpersonal skills with demonstrated ability to work well with peers, all levels of management, and external resources.

• Excellent communications skills (written, oral, and listening) with the ability to work with, influence, and inform diverse groups.

• Able to work independently and to apply the intent of policies, guidelines, and regulations in diverse global situations.

• Able to effectively deal with a high-volume work-load, rapid cycles, multiple assignments, concurrent deadlines, and changing priorities.

• Self-starter, capable of taking on special projects and challenging assignments.

• Able to anticipate potential problems and develop mitigation strategies in advance, and to identify legal issues in negotiations and agreements and escalate as needed.

• Proficiency in Microsoft Word and PowerPoint, Sharepoint, Visio and Adobe Acrobat

• Previous project/program management experience preferred

• Detail oriented and superior organizational and administrative skills

• Flexibility and willingness to work on a broad variety of legal matters
