Counsel will represent the Company in real estate and property management issues relating to its national portfolio of retail stores, offices, distribution centers and warehouses. Will support and advise the Company on legal and business strategies, and implement and manage processes and procedures to reduce risks and resolve issues arising from Real Estate and Property Management, with special emphasis on the interpretation, negotiation and documentation of real estate documents and instruments.

Specific Duties &
  • Work with lease administration, facilities, store operations, real estate and loss prevention groups to resolve problems with landlords, other tenants, subtenants, lenders, government entities, environmental protection agencies, OSHA and other third parties.


  • Implement and manage internal and external processes and drive continuous improvements and scalability in lease administration, lease renewals and other real estate and store related processes. Plan and coordinate lease issue reviews, capital project management and advise Sr. Management on legal risks and recommend practical plans for managing those risks.


  • Attorney must be adept at negotiating and drafting of purchase and sale agreements, ground leases, leases, subleases, easements, covenants, conditions and restrictions, assignments and assumptions, mortgage instruments and collateral documents such as guaranty, recognition and non-disturbance agreements, estoppels and other real estate documents.


  • Liaise with other attorneys, outside counsel, government and municipal officials and internal departments.


  • Handle all other real estate related legal issues, including issues arising from CAM and tax audits, transfers of titles and deeds, lease, mortgage and covenant restrictions, construction, mechanics’ liens, mortgage concerns, eminent domain, condemnation and zoning.


  • Deal with banks and other lenders and debt and/or mortgage holders and holders of collateralized obligations. Provide legal advice to the organization and oversee estoppel and SNDA processes and prepare resolutions and forms, and participate in major legal actions.


Education: JD from an ABA accredited law school.



Experience:


  • Minimum 8+ years’ experience as a real estate lawyer either in-house with a retailer or landlord (REIT) or with a sophisticated law firm including relevant experience with shopping center leasing and lease administration issues and negotiating and documenting the same.



  • Admitted into the state bar.


  • Emphasis on big-box/junior anchor retail leasing issues.


Skills and Abilities:



Strong organizational, analytical and interpersonal skills. Strong writing and drafting skills. Able to manage deals, processes and legal issues from beginning to closing. Familiarity with lease administration/property management software or programs a bonus.
