About this role:

Provides general paralegal support for the Corporate Legal team with an emphasis on entity management.

What you'll do:

  • Assist the Corporate Legal team with the corporate governance matters of Gartner and its subsidiaries.

  • Lead the management and oversight of our legal entities:

    • General corporate governance, including entity formation; preparing stock certificates; drafting documents for amendments, withdrawals, mergers, conversions and dissolutions of corporations, partnerships and LLCs

    • Manage corporate housekeeping of Domestic and International entities, including maintenance of corporate minute books, annual meetings, and preparation of board and stockholder minutes

    • Prepare and file regulatory documents, including statutory filings and disclosures

    • Coordinate with registered agent of U.S. subsidiaries, as appropriate

    • Support corporate governance matters of select non-U.S. subsidiaries, including organizing board and annual meetings (and preparation of related materials), coordinating statutory filings with registered agent, and general corporate housekeeping

    • Maintain global entity management database

    • Obtain notarizations, apostilles and legalizations of corporate records and other documents, as needed

  • Provide support to the Treasury team on KYC requests, bank forms, etc.

  • Provide support to the Contracts team on client questionnaires, vendor questionnaires, etc.

  • Provide support on M&A and tax planning, including conducting diligence, preparing ancillary documents and assisting in post-acquisition integration, as needed

  • Provide administrative support, as needed

  • Collaborate with cross-functional teams, as necessary, including Treasury, Tax, Procurement, Investor Relations, Human Resources, Capital Appreciation, Corporate Development, and Contracts

What you'll need:

  • Minimum 5 years of corporate paralegal experience for a major multinational corporation, or as a paralegal in a major law firm, with an emphasis on corporate paralegal work

  • Experience with entity management systems, subsidiary corporate governance and management, corporate transactional matters

  • Knowledge/experience in data management (preferred)

  • Attention to detail and timelines; ability to organize and prioritize numerous tasks and complete them under time constraints.

  • CT notary (preferred but not required)

  • Computer skills (Excel, Word, PowerPoint, Adobe/Kofax)

  • Excellent interpersonal, verbal, and written communication skills. Ability to liaise with multiple departments.

  • Excellent oral and written communication, time management and organization skills

  • Dependable team player who works collaboratively and cooperatively with others in a team-oriented environment.Ability to work independently, take initiative, assume responsibility, and own role.

Gartner believes in fair and equitable pay. A reasonable estimate of the base salary range for this role is 62,400 USD - 86,940 USD. Please note that actual salaries may vary within the range, or be above or below the range, based on factors including, but not limited to, education, training, experience, professional achievement, business need, and location. In addition to base salary, employees will participate in either an annual bonus plan based on company and individual performance, or a role-based, uncapped sales incentive plan.
