Title: Associate Counsel

Location: North Sioux City, SD; Scottsdale, Arizona

Reports To: General Counsel

Required Education/Experience: The Associate Counsel must have a Juris Doctorate (JD) degree from an accredited law school and must have an active license to practice law in at least one state. The Associate Counsel must have at least 6 years’ relevant experience in-house or at a law firm. The ideal candidate will have experience working in the IT industry in a legal, compliance, or contract role.

Job Description: The Associate Counsel will be a member of the Company’s in-house legal team and assist in providing a comprehensive range of legal services, advice and counsel to the Company. The Associate Counsel will have the opportunity to work on a wide array of projects and to play a key role in supporting the Company’s rapid growth by assisting in advancing legal projects and initiatives while learning and planning for future Company needs.

Requirements:

  • Proficient understanding of contracting principles and practices, and knowledge of contract law.
  • Strong drafting and reading comprehension skills, and high level of legal research and analytical skills.
  • Ability to draft, structure, review, revise, negotiate, interpret, analyze, and provide legal guidance on a broad range of sophisticated commercial contracts and other documents.
  • Ability to develop and maintain knowledge of an organization’s operations and of the regulatory landscape as it pertains to the Company.
  • High degree of initiative, organization and prioritization in approach to professional responsibilities, and ability to work independently with minimal supervision.
  • Ability to synthesize complex issues and give practical advice, to communicate effectively in writing as appropriate for the needs of the audience, and to summarize and communicate legal issues in plain-English.
  • Proficient understanding of professional ethics, business sensitivities and confidentiality, and ability to manage professional responsibilities with integrity and discretion.
  • Personal aptitude to thrive in a dynamic, fast-paced environment, and to manage multiple, concurrent responsibilities and competing demands with sound judgment and diplomacy.
  • Strong collaboration skills, and ability to work and communicate effectively with all levels of the Company.
  • Ability to sit at a desk and work on a computer for prolonged periods, and ability to utilize and manage Microsoft Office products and other office programs and tools.

Primary Responsibilities:

  • Draft, review, revise, negotiate, and provide legal guidance on a broad range of sophisticated commercial contracts and other documents based on corporate guidelines and input from various stakeholders, including nondisclosure, software license/sublicense, cloud contracts, flexible consumption models, and partnership agreements.
  • Conduct legal research, and evaluate, report, and provide guidance on compliance with applicable laws, regulations, certifications, standards, policies, practices, and procedures.
  • Draft and assist in the development of policy documents, written procedures, and other documentation designed to enhance compliance with applicable laws, regulations, certifications, standards, policies, practices, and procedures.
  • Provide general legal advice and counsel to the Company, including fielding inquiries from internal teams and business areas regarding legal matters that pertain to the Company and offering solutions-based advice by resolving conflicts and mitigating risks before they escalate.
  • Maintain and continuously improve the relationship between the legal team and the Company’s sales, services, operations, and other business teams.
  • Assist in the continuous improvement of standard form agreements and other documents and the legal team’s departmental guidelines and procedures.
  • Assume other duties as may arise from time to time in support of the efforts of the General Counsel and the Company
