The role:
SoFi is seeking an Assistant General Counsel, Capital Markets, who is a capital markets, securities and transactional attorney with a minimum of 3 years of experience in representing issuers or underwriters in structured finance ABS transactions, warehouse facilities and whole loan sales from either a top tier law firm or as in-house counsel. Experience with capital markets transactions for a bank or bank holding company is a plus. In addition, you should have experience advising companies on the operational aspects of structured finance, including SEC filings, compliance and disclosure. The position reports to the Senior Assistant General Counsel and can be located in New York or San Francisco.
What you'll do:
The Assistant General Counsel, Capital Markets will:
- Draft, review and negotiate financing agreements, including securitizations, whole loan sales and warehouse agreements, and ISDA and other derivative documentations, including schedules and credit support annexes
- Assist the Senior Assistant General Counsel, Capital Markets, and other members of the legal team as needed with respect to contracts and regulatory matters
- Research and respond to due diligence requests and know-your-customer (KYC) requests
- Provide legal advice to the Capital Markets and Treasury teams, as needed
What you'll need:
- You should be an intellectually curious self-starter with strong written and oral communication skills
- JD from an accredited law school
- Active membership and good standing in the New York or California bar required
- 3+ years of experience in representing issuers and/or underwriters in structured finance ABS transactions, warehouse facilities and whole loan sales from either a top tier law firm or as in-house counsel
- Excellent writing skills and ability to multitask and work independently
- Ability to embrace change and thrive in a fast paced environment with conflicting priorities, multiple projects and deadline pressure
Nice to have:
- Experience with capital markets transactions for a bank or bank holding company a plus
- Experience in mortgage and unsecured lending asset classes a plus
- Experience with derivatives and derivative regulations a plus
