Summary/Objective

This position is responsible for providing business valuation and purchase price allocation data for acquired entities. This role will interact with senior management, accounting and finance team, operations, and former sellers to ensure a smooth transition during the acquisition process.

Essential Functions

  • Manages the planning, scheduling, and execution of all valuation engagements to provide timely, high quality client service that meets or exceeds client expectations and deadlines.
  • Collaborates with legal, operations, and management teams to plan the integration process.
  • Prepares Opening Balance Journal entries, Business Combination Notes and Purchase Price Allocations for all acquisitions.
  • Manages due diligence data rooms - gather, organize, review and vet information and documents.
  • Maintains and analyses financial records including Asset Purchase Agreements, Closing Statements, Property Appraisals, Income Statements, Non-Compete and Consulting Contracts, IFRS 16 Leases, Inventory, FF&E, Trust Statements, AP and AR, etc.
  • Conducts in-depth financial and valuation analysis and modeling; Employ valuation techniques, including discounted cash flow analysis.
  • For significant acquisitions, collaborates with External Business Valuations Team (BDO) to create comprehensive valuation reports to support and document valuation conclusions.
  • Determines the fair value of the acquired company’s assets and liabilities.
  • Ensure proper accounting treatment and compliance with accounting standards and regulations; Maintain accurate records and documentation.
  • Allocates the purchase price to assets (goodwill, tangible assets, and intangible assets) and liabilities based on estimated fair values..
  • Manages the Due To/From Seller/Buyer account and ensure proper cutoff.
  • Works closely with auditors, corporate development, tax professionals, and other stakeholders to address any financial or reporting issues.
  • Communicates with senior management, staff, sellers and stakeholders and serve as a resource for these individuals.
  • Prepares accounting memos for unusual or non-routine type transactions relating to the purchase.
  • Records consolidation entries, intercompany transactions, and other accounting adjustments.
  • Contributes to special projects and support internal team members with accounting, financial, audit, and ad-hock reporting as needed.
  • Actively participates in continuous improvement of internal processes and procedures.

Required Education, Experience, Certifications, and Licensure

  • Bachelor’s degree in accounting or finance or equivalent combination of education and experience required.
