Overview:

The Corporate Paralegal will provide support to corporate attorneys. The Corporate Paralegal will work under the supervision of a corporate attorney. The Corporate Paralegal’s duties, include, without limitation, preparing initial drafts of agreements, researching business issues related to client agreements, organizing pending projects, supporting the corporate attorneys as requested, serving as a liaison between the attorneys, clients and business teams, and performing all other duties reasonably assigned.

Responsibilities:

  • Draft and review client and vendor agreements, statements of work and amendments.
  • Analyze contract terms and conditions to ensure compliance with appropriate laws, regulations and corporate policies.
  • Proactively manage corporate attorney needs, client needs and personal task list.
  • Proactively coordinate with internal teams on insurance needs, requirements, claims and issues.
  • Monitor the contract renewal process by maintaining a database of contracts, renewal dates and status.
  • Use of independent judgment and creativity applied to resolution of contract issues.
  • Track status of agreements from initial draft to execution.
  • Other duties as assigned.

Requirements

  • 3-5 years of experience serving as a corporate paralegal.
  • Familiar with a variety of the field's concepts, practices, and procedures.
  • Relies on experience and judgment to plan and accomplish goals.
  • Ability to assess risk and mitigate the same in contractual language.
  • Ability to work in a fast paced environment.
  • Ability to organize and maintain records and files.
  • Ability to work as a member of a team with collegiality and professionalism.
  • Proficient in the use of Microsoft Word, Microsoft Excel, Microsoft PowerPoint.
