Job Overview:

This position, under the general guidance of an attorney, supports the implementation and oversight of the company's legal entity governance framework. Perform other duties as assigned. This position is located in Cincinnati, Ohio.

Essential Functions:

Prepare minutes and other corporate secretarial documents for all Macy's domestic and international subsidiaries, including shareholder and director resolutions.
Keep accurate minute books and records.
Prepare all documents required to form, merge and liquidate legal entities (e.g., corporations, LLCs and partnerships).
Qualify entities in foreign jurisdictions.
Update director and officer slates.
Maintain and manage database of corporate entities, including organizational documents, registered agents, governing bodies, ownership and other pertinent data.
Maintain corporate organizational charts
Provide subsidiary information as requested to the law department, other Macy's personnel and authorized third parties.
Research the legalization/authentication process to have documents authorized for use in foreign jurisdictions, and prepare and submit the appropriate documentation.
Prepare Powers of Attorney and Delegations of Authority related to subsidiary operations.
Deliver, track and retrieve documents signed by Macy's executives and other Macy's personnel.
Assist with SEC filings as requested, including Section 16 ownership reports.
Assist with the department's billing approval and payment of invoices related to subsidiary matters.
Perform other duties as assigned.
Regular, dependable attendance & punctuality.

Qualifications:

Education/Experience:

College degree from an accredited school preferred; Demonstrated project management experience; May have Certified Legal Assistant designation or passed the Paralegal Advanced Competency Examination.
At least 2 years of legal assistant or other relevant experience.

Communication Skills:

Excellent written and verbal communication skills.
Ability to read, write, and interpret instructional documents such as reports and procedure manuals.
Strong computer skills, able to adapt and apply new technologies.

Mathematical Skills:

Must have above average mathematical skills, including the ability to compute rates, ratios, and percentages, and the ability to work with mathematical concepts such as probability and statistical inference.

Reasoning Ability:

Must be able to work independently with minimal supervision.
Ability to prioritize multiple requests and projects.

Physical Demands:

This position involves extended periods of sitting and the extensive use of computer and the office equipment.
May involve stooping, kneeling, or crouching.
Involves close vision, color vision, depth perception, and focus adjustment.

Other Skills:

This position may combine generalist legal knowledge with a paraprofessional knowledge of one or more legal specialties. In addition to knowledge of the law and legal processes, incumbents are expected to demonstrate excellent organizational, communication and time management skills.

Work Hours:

Ability to work a flexible schedule based on Law Department and Company needs;
Ability to travel infrequently as needed.
