Job Summary

Detail-oriented Paralegal needed to support corporate, entertainment, and IP legal operations—focusing on company registrations, governance, and contract management across a multi-division media group. Sumerian is seeking a highly organized and proactive Paralegal to support our legal and business affairs team across corporate, entertainment, and intellectual property matters. You’ll be responsible for managing a wide array of legal tasks—from entity registrations and corporate governance to entertainment contract support and IP tracking.

You’ll work across our music, film, publishing, and brand divisions, helping maintain the legal integrity of our operations. This includes overseeing company registrations in multiple jurisdictions, preparing board materials, tracking ownership structures, and ensuring compliance with corporate formalities.

Key Responsibilities

• Prepare and file entity formation documents, amendments, foreign registrations, and dissolutions in various states and jurisdictions.
• Maintain corporate records, organizational charts, board resolutions, consents, and ownership ledgers.
• Ensure ongoing corporate governance compliance, including annual reports, registered agent updates, and internal recordkeeping.
• Draft, review, and manage legal agreements including NDAs, licensing, distribution, and service contracts.
• Support trademark and copyright filings, renewals, and enforcement efforts.
• Track and manage rights and licensing agreements across all media formats.
• Coordinate with external counsel, business teams, and executives on legal matters.
• Maintain and organize legal documentation, templates, and contract databases.

Qualifications:

• 3–5 years of experience as a paralegal with a focus on corporate legal work, ideally in an in-house or entertainment/media environment.
• Strong knowledge of entity formation, corporate governance, and multi-state filings.
• Familiarity with entertainment law and intellectual property rights across music, film, and digital media.
• Excellent organizational, drafting, and communication skills.
• Comfortable handling confidential information with discretion.
• Proficiency with Microsoft Office, legal databases, and document management systems (experience with tools like Docusign, CLM systems, or Carta is a plus).
• Currently resides in the Nashville Tennessee area.
