Candidate will have the following: Minimum 6 years of experience handling business and financial transactions within the healthcare industry ; Experience within a large law firm setting (experience will be current or very recent) ; Keen knowledge of complex healthcare regulations like HIPAA and anti-kickback laws ; Experience negotiating contracts for everything from physician practices to technology companies.
Stellar academic credentials (Law Review and/or Moot Court accolades desired); Strong research, verbal & written communication skills, and analytic skills required ; Texas Bar.

Day to Day Responsibilities:Responsibilities include, but are not limited to:
- Representing a diverse clientele including hospitals, health systems, physician groups, and long-term care facilities, as well as pharmaceutical companies, medical device -manufacturers, and health information technology firms.
- Guiding clients through the purchase or sale of healthcare entities like hospitals, physician practices, and software companies.
- Assisting with loans, private equity investments, and other capital markets transactions in the healthcare sector.
- Conducting thorough legal reviews of a target company's operations, finances, and legal standing before a transaction is finalized.
- Structuring and drafting agreements for strategic partnerships between healthcare organizations.
- Negotiating and drafting a wide range of agreements, including physician employment contracts, vendor agreements, and managed care contracts.
- Ensuring transactions comply with healthcare-specific laws and regulations, which can include HIPAA, anti-kickback statutes, and Stark Law.
- Providing general advice on corporate governance, risk assessment, and succession planning for healthcare clients.
