Position
Mid-Level Corporate Associate — Technology Transactions
Our client is seeking a mid-level corporate associate to join its Technology Companies group in any of the firm's key U.S. offices. This is an opportunity to work alongside a nationally ranked team on high-volume, market-shaping transactions for some of the most recognizable names in technology. The role offers meaningful responsibility, significant client exposure, and a clear trajectory for professional growth within a collegial and entrepreneurial practice environment.
Key Responsibilities
- Drafting, reviewing, and negotiating transaction documents across a range of corporate and securities matters, including mergers and acquisitions, equity and debt offerings, and venture financings
- Advising public company clients on SEC reporting obligations, proxy statements, corporate governance matters, and board-level issues
- Supporting registered equity offerings, including S-1 and S-3 registration statements, prospectus supplements, and related securities filings
- Conducting due diligence and managing deal processes from letter of intent through closing
- Coordinating with cross-practice teams (tax, IP, regulatory, executive compensation) to deliver integrated client solutions
- Engaging directly with clients and building relationships within the firm's broader technology network
Qualifications
- Experience: 3–5 years of substantive experience in corporate and transactional law at a major law firm, with a strong foundation across the deal life cycle
- Subject Matter Depth: Demonstrated experience in public company representation, registered equity offerings, ongoing SEC reporting, and M&A transactions (both public and private)
- Industry Exposure: Prior experience advising technology companies is strongly preferred; however, the group will also consider candidates with a genuine interest in and aptitude for the practice area, even without direct technology-sector experience
- Class Year: Class of 2023 and above
- Skills: Strong analytical, drafting, and negotiation skills; ability to manage multiple workstreams in a fast-paced deal environment; excellent judgment and attention to detail
- Bar Admission: Must be admitted (or eligible for admission) in the jurisdiction of the target office
