The Opportunity
This position is ideal for a seasoned paralegal who enjoys working closely with partners and taking ownership of corporate matters from start to finish. You'll play a key role in keeping transactions moving, maintaining corporate records, and supporting clients with practical, detail-driven guidance.
Key Responsibilities
- Provide direct support to a senior partner across corporate and transactional matters
- Manage corporate governance and entity maintenance, including formations, dissolutions, annual filings, and minute books
- Prepare and maintain corporate records, resolutions, and organizational documents
- Assist with M&A, financing, and other transactions, including due diligence and closing coordination
- Draft and organize corporate and transactional documents
- Oversee document execution and prepare closing binders
- Serve as a point of contact with clients, regulatory agencies, and third parties
- Track deadlines and ensure filings and deliverables are completed efficiently
- 1,400 billable hours annually
- 7+ years of corporate or transactional paralegal experience within a law firm setting
- Strong background in corporate governance and entity management
- Experience supporting M&A or transactional work preferred
- Bachelor's degree and/or Paralegal Certificate preferred
- Highly organized with strong attention to detail
- Comfortable working closely with senior attorneys and managing competing priorities
- Base Salary: $105,000 - $125,000
- Bonus eligible
