Job Description
Looking for a Corporate Associate with 4–6 years of experience advising public companies and/or investment banks for a Capital Markets & Public Companies with a Premier Global Law Firm in New York, Los Angeles or San Francisco.
The Capital Markets & Public Companies group at Premier Global Law Firm advises technology and life sciences companies at all stages of growth, from emerging companies to mature public corporations. The Associate will work on a broad range of public company representation matters, securities offerings, governance matters, and capital markets transactions.
This role requires a highly motivated and client-focused professional with strong technical, analytical, and communication skills who can effectively advise clients on complex securities law and capital markets matters.
Key Responsibilities
- Advise public companies on SEC compliance, disclosure obligations, governance matters, and stock exchange requirements.
- Represent issuers and investment banks in capital markets transactions, including IPOs, SPAC transactions, direct listings, and follow-on offerings.
- Provide legal guidance on securities law compliance and public company reporting requirements.
- Assist clients with ongoing corporate governance, disclosure controls, and regulatory matters.
- Work closely with management teams, boards of directors, investment bankers, and other advisors on strategic transactions and public company matters.
Capital Markets & Public Company Advisory
- Advise clients on securities offerings and capital raising transactions.
- Assist with registration statements, offering documents, SEC filings, and related disclosure materials.
- Provide guidance on exchange listing requirements and public company best practices.
- Analyze complex legal and regulatory issues and develop practical solutions for clients.
Stakeholder Management & Transaction Execution
- Collaborate with public company executives, boards of directors, investment banks, and internal legal teams.
- Support transaction execution from initial structuring through closing and post-transaction compliance requirements.
- Work closely with partners and clients on strategic corporate and capital markets initiatives
Experience
- 4–6 years of experience advising public companies and/or investment banks.
- Prior experience with SEC compliance, disclosure, governance, exchange matters, IPOs, SPACs, direct listings, and follow-on offerings
- Experience with or affinity for technology and/or life sciences companies is preferred.
Education
- Juris Doctor (JD) with strong academic credentials.
- Candidates must be admitted to practice in the state of the office for which they are applying or be eligible to sit for or waive into the applicable bar
