Corporate Transactional Associate Attorney

Direct Counsel is seeking a Corporate Transactional Associate with 3–6 years of experience to join a growing Business Group in Cincinnati. This is an excellent opportunity for an attorney looking to work on a broad range of corporate transactions, including mergers and acquisitions, joint ventures, growth equity financings, and general corporate matters for both public and private companies.

The ideal candidate will have strong transactional experience, excellent drafting skills, and the ability to work directly with clients and business teams on sophisticated corporate matters.

Responsibilities

• Support mergers and acquisitions transactions from due diligence through closing
• Prepare ancillary transaction documents and diligence reports
• Draft and negotiate LLC agreements and other organizational documents
• Draft, review, and negotiate commercial contracts
• Advise public and private companies on general corporate and business matters
• Support joint venture transactions and growth equity financings
• Collaborate with in-house legal departments and operational teams on strategic business initiatives
• Work closely with partners and clients on sophisticated transactional matters

Qualifications

• 3–6 years of corporate transactional experience
• Experience handling mergers and acquisitions transactions
• Experience conducting due diligence and preparing diligence reports
• Experience drafting LLC agreements and other corporate governance documents
• Experience drafting and negotiating commercial contracts
• Superior attention to detail
• Excellent written, verbal, analytical, and communication skills
• Comfortable working with technology and modern business platforms
• Active Ohio Bar admission required
