Job Description
Direct Counsel is seeking a Corporate Associate Attorney to join a prestigious Am Law 100 law firm in Seattle.
This is an excellent opportunity for a talented corporate attorney with 2–4 years of experience to work on sophisticated transactions alongside a nationally recognized corporate practice. The ideal candidate will have significant experience handling mergers and acquisitions, venture capital financings, or both, and will be looking to further develop their practice in a collaborative, high-performing environment.
ResponsibilitiesAssist with and manage complex corporate transactions, including mergers and acquisitions, venture capital financings, and other strategic business transactions.
Conduct legal research and analysis to support transaction strategy, structuring, and execution.
Draft, review, and negotiate transaction documents, corporate governance materials, and related agreements.
Participate in client meetings, negotiations, due diligence reviews, and transaction closings.
Build and maintain strong relationships with clients while providing practical business-oriented legal advice.
Collaborate with attorneys across multiple practice groups to deliver comprehensive solutions to clients.
Monitor legal and regulatory developments affecting corporate transactions and business operations.
Contribute to business development initiatives, firm programs, professional organizations, and pro bono efforts.
J.D. from an accredited law school with a strong academic record.
Admission to practice law in Washington, or ability to become admitted promptly.
2–4 years of corporate transactional experience.
Experience with mergers and acquisitions and/or venture capital financings.
Prior experience at an Am Law 100 or similarly sophisticated law firm preferred.
Excellent drafting, negotiation, analytical, and problem-solving skills.
Strong written and verbal communication abilities.
Exceptional organizational skills and attention to detail.
Ability to manage multiple priorities and deadlines in a fast-paced environment.
Demonstrated ability to work both independently and collaboratively.

Compensation & BenefitsExpected compensation ranges from $235,000 to $310,000, depending on experience, qualifications, and market factors.
