Job Description
Lawyers on Demand, a Consilio Company, is seeking a Paralegal Specialist for an assignment with one of our AmLaw 100 firm clients.
Start: late June 2026 or early July 2026
Pay Rate: $61.30/hr+ based on experience
Location: Hybrid
Qualified paralegals located in Palo Alto, San Francisco, Los Angeles, or San Diego are preferred; qualified candidates in Austin, Seattle, Chicago, or Phoenix will also be considered.
Duration: Indefinite, with possibility of converting into a direct hire role if a good fit
Job Description
- Our client is seeking a paralegal with 10+ years of experience. The position is responsible for handling substantive projects and cases under the direction of a lawyer, and should generally be able to perform with little supervision. Candidates must be able to commute to the office in the applicable city.
Essential Duties/Responsibilities
- Performs and maintains capitalization tables as well as stock and options ledgers.
- Prepares drafts and files Section 16 filings.
- Organizes, prepares and files a variety of corporate legal documents for transactions (Articles of Incorporation/Organization, Amendments, state qualifications, consents, merger documents, closing books, electronic closing sets, initial drafts or certificates, short‐form closing deliverables, and filing annual reports).
- Assists with formation of entities such as Corporations, LLCs, 501(c)(3).
- Prepare documents for transactions such as closing statements.
- Manages HighQ and Box data rooms and matter files.
- Handles signature packets in Docusign and SimplyAgree.
- Performs Blue Sky research and filings.
Required Experience
- 10+ years of substantive experience.
- Direct experience with Carta, Pulley, SEC EDGAR Next, Docusign, SimplyAgree and other related software.
- Direct experience performing Blue Sky research and filings.
- Ability to work with little supervision.
- California paralegals must meet the California Paralegal Requirements
