Job Description
We are seeking a motivated and detail-oriented Associate Attorney to join our growing practice. The ideal candidate will bring a strong foundation in estate and business planning, tax work, and transactional law. This is an excellent opportunity for a driven attorney eager to develop across a broad range of complex legal matters in a collegial and professional environment. You will work directly with clients and senior attorneys on matters spanning estate planning, wealth management, probate, trust administration, business formations, corporate reorganizations, like-kind exchanges, commercial law, and federal and state taxation.
PRIMARY RESPONSIBILITIES
- Draft and administer complex estate plans, wills, revocable and irrevocable trusts, and related instruments
- Advise clients on wealth transfer strategies, estate and gift tax planning, and asset protection
- Manage probate and trust administration matters, including court filings and beneficiary communications
- Structure and document business formations, operating agreements, buy-sell arrangements, and shareholder agreements
- Advise on and execute mergers, acquisitions, and divisive reorganizations, including due diligence and deal documentation
- Structure 1031 like-kind exchange transactions and coordinate with qualified intermediaries
- Provide broad-based federal and state tax advice to individuals, pass-through entities, and corporations
- Advise on entity liquidations, corporate restructurings, and tax-deferred transactions
- Collaborate with senior attorneys on complex, multi-disciplinary client matters
REQUIRED QUALIFICATIONS
- Juris Doctor (J.D.) from an ABA-accredited law school
- Licensed to practice law in Mississippi
- Strong working knowledge of federal and state tax principles applicable to individuals, trusts, and business entities
- Proficiency drafting complex legal instruments including wills, deeds, trusts, operating agreements, and transactional documents, and probate documents
- Excellent research, writing, and analytical skills with acute attention to detail
- Ability to manage multiple client matters and deadlines simultaneously in a fast-paced environment
- Professional communication skills, written and verbal
PREFERRED QUALIFICATIONS
- LL.M. in Taxation or Estate Planning
- 3-5 years of experience at a law firm
