A highly respected, multi-disciplinary law firm in Raleigh is seeking an entrepreneurial Associate Attorney to join its thriving Business and Corporate practice. This is an ideal role for a high-potential attorney who wants to move beyond "back-office" research and into a front-facing, "Outside General Counsel" capacity. You will collaborate with elite real estate and estate planning teams to provide a full-spectrum legal suite to small businesses and mid-market companies. What You’ll Do
- Entity Architecture: Lead clients through entity formation, crafting everything from simple LLCs to sophisticated joint venture structures and operating agreements.
- Outside General Counsel: Serve as the primary legal point of contact for small businesses, negotiating commercial contracts and advising on critical employment matters.
- M&A Execution: Represent buyers and sellers (with a focus on the sell-side) in business transactions ranging from $100k to $50M+.
- Strategic Planning: Assist business owners with complex transition and succession planning to protect their legacies.
- Specialized Filings: Occasionally manage SEC Form D filings for private offerings (real estate syndications) and oversee trademark applications.
- Growth & Networking: Actively engage in business development to expand the firm's footprint and your own professional brand.
Candidate Requirements
- Experience: 2–4 years of law firm experience focused on business and corporate law.
- Bonus Expertise: Exposure to commercial real estate or trusts and estates is highly preferred.
- Skills: Exceptional drafting and analytical abilities with the capacity to manage multiple high-priority projects simultaneously.
- Mindset: A client-focused advocate who is both a self-starter and a collaborative team player.
Compensation & Perks
- Salary Range: $120,000 – $140,000
