Litigation Associate
Position Overview
We are seeking a Litigation Associate to join our firms corporate and commercial litigation team. The ideal candidate will handle complex disputes involving securities, shareholder matters, M&A-related litigation, joint ventures and corporate finance issues. This role combines case management, strategic advocacy, client counseling and collaborative work with partners to achieve favorable outcomes in litigation, arbitration and regulatory proceedings.
Key Responsibilities
- Manage a portfolio of complex commercial and corporate litigation matters, including securities and shareholder disputes, M&A-related litigation and joint venture conflicts.
- Conduct factual and legal research and produce clear, persuasive legal analysis and recommendations for case strategy.
- Draft and file pleadings, motions, briefs, discovery requests and responses, settlement agreements and other substantive court documents.
- Lead and participate in all stages of discovery, including drafting and responding to interrogatories, managing document productions and coordinating privilege reviews.
- Prepare for and take depositions, examine witnesses, and coordinate with experts and consultants.
- Represent clients in hearings, trials, arbitration and mediations; prepare trial exhibits and witness examinations.
- Advise clients on regulatory and compliance issues related to securities law, corporate finance and transactional disputes.
- Work closely with partners to develop litigation strategy, manage case budgets and identify risk mitigation approaches.
- Supervise and mentor junior associates and paralegals; review work product for accuracy and adherence to firm standards.
- Contribute to business development and client relationship efforts, including drafting pitch materials, participating in client meetings and developing practice-area thought leadership.
Qualifications
- Juris Doctor (JD) from an accredited law school and admission to the state bar in good standing.
- 37 years of litigation experience at a law firm or in-house, with substantial exposure to corporate and commercial litigation; a higher or lower range can be considered depending on background.
- Demonstrated experience with securities law, securities litigation, shareholder disputes, or M&A-related litigation preferred.
- Proven skill in drafting pleadings, motions, briefs and complex transactional or litigation documents.
- Strong deposition and trial experience or significant courtroom exposure is highly desirable.
- Experience with joint venture and corporate finance disputes a plus.
- Excellent legal research, analytical and written communication skills, with the ability to present complex issues clearly to clients and courts.
- Ability to manage multiple matters, meet deadlines and work effectively both independently and as part of a team.
- Client-focused approach with strong interpersonal skills and a commitment to developing business and maintaining client relationships.
