Direct Counsel is seeking a Debt Finance Mid-Level Associate to join the Debt Finance Practice of a leading Am Law firm in Charlotte. This opportunity is ideal for an attorney with 3–5 years of finance experience who is looking to work on sophisticated financing transactions representing borrowers, lenders, issuers, underwriters, and private equity sponsors.
The ideal candidate has experience with senior secured lending, syndicated finance, mezzanine financing, or other complex debt transactions and enjoys working on high-value domestic and cross-border financing matters.
Responsibilities- Represent borrowers, lenders, issuers, underwriters, placement agents, and other market participants in complex financing transactions.
- Structure, draft, review, and negotiate credit agreements, loan documents, security agreements, intercreditor agreements, and other financing documentation.
- Advise clients on senior secured credit facilities, syndicated loans, second lien facilities, mezzanine financings, bridge financings, and other debt transactions.
- Assist with high-yield and investment-grade debt offerings, institutional private placements, refinancing transactions, recapitalizations, exchange offers, tender offers, and consent solicitations.
- Conduct legal due diligence and manage transaction execution from commitment through closing.
- Collaborate with attorneys across corporate, private equity, restructuring, tax, and capital markets practices to provide comprehensive client solutions.
- Build and maintain strong client relationships while delivering practical, business-focused legal advice.
- J.D. from an ABA-accredited law school with strong academic credentials.
- 3–5 years of debt finance or leveraged finance experience at a leading law firm.
- Experience with senior secured lending, mezzanine finance, second lien lending, syndicated finance, or related financing transactions preferred.
- Strong drafting, negotiation, analytical, and project management skills.
- Excellent written, verbal, and interpersonal communication abilities.
- Ability to independently manage sophisticated financing transactions while collaborating effectively with clients and colleagues.
- Active membership in the North Carolina Bar.
