Commercial Mortgage-Backed Securities (CMBS) Associate Attorney
Locations: New York, NY | Philadelphia, PA | Charlotte, NC | Boston, MA

Direct Counsel is seeking a Commercial Mortgage-Backed Securities (CMBS) Associate Attorney to join the Global Finance practice of a premier Am Law firm. This is an exceptional opportunity to work with one of the nation's leading securitization teams representing issuers, underwriters, servicers, and investors in sophisticated commercial real estate securitization and structured finance transactions.

The ideal candidate will have 3–6 years of securitization experience with a strong background in commercial mortgage-backed securities (CMBS), commercial real estate finance, or related structured finance transactions.

Responsibilities
  • Represent issuers, underwriters, servicers, and investors in commercial mortgage-backed securities (CMBS), CRE CLO, and other commercial real estate securitization transactions.
  • Draft, review, and negotiate bid letters, confidentiality agreements, pooling and servicing agreements, mortgage loan purchase agreements, investor certifications, and other securitization documentation.
  • Advise clients on commercial real estate repurchase facilities, warehouse lending transactions, and other structured finance matters.
  • Serve as a key member of transaction teams, managing significant aspects of transactions from due diligence through closing.
  • Coordinate with clients, lenders, and internal deal teams to ensure efficient execution of complex financing transactions.
  • Collaborate with attorneys across the Global Finance practice to develop innovative solutions for sophisticated commercial real estate finance matters.
Qualifications
  • J.D. from an accredited law school with strong academic credentials.
  • 3–6 years of experience in securitization, structured finance, CMBS, or commercial real estate finance at a law firm.
  • Experience preparing and negotiating securitization documentation, including pooling and servicing agreements, mortgage loan purchase agreements, confidentiality agreements, and related transaction documents.
  • Experience with commercial real estate repurchase facilities and warehouse lending is preferred.
  • Demonstrated ability to manage key aspects of sophisticated transactions from due diligence through closing.
  • Excellent drafting, negotiation, analytical, and communication skills.
  • Large law firm experience is strongly preferred.
  • Active bar admission, or eligibility for admission, in the jurisdiction where the candidate will be based.
Compensation & Benefits
  • Salary: Starting at $260,000, with compensation commensurate with class year and experience.
