Position Summary:
Manley Brautigam Bankston P.C. seeks a Transactional Attorney to advise on business and commercial matters. The role centers on drafting, reviewing, and negotiating contracts; guiding entity formation and transactions; ensuring legal compliance; and supporting organizational growth through strategic counsel. The attorney collaborates closely with business leaders, executives, and external parties.

 

Key Responsibilities:
Contract Drafting & Review:

Draft, review, and negotiate contracts, including:

         Purchase/sale agreements

         Buy-Sell and Operating Agreements

         Leases, service agreements

         NDAs, licensing

         Vendor/supplier

         Professional services contracts

Ensure accuracy, enforceability, and alignment with business objectives.


Transactional Support:

         Lead or assist with due diligence, structuring, negotiation, and closing

         Advise on corporate governance, business risks, and legal obligations

         Support mergers, acquisitions, and other transactions by preparing disclosure schedules, resolutions, and closing documents.


Legal Research & Compliance:

         Research state, federal, and industry regulations

         Identify risks and mitigation strategies

         Ensure compliance with corporate, commercial, and financial laws


Client/Stakeholder Advisory:

         Provide clear, actionable legal guidance to internal and external clients

         Partner with leadership to develop solutions aligned with business goals and communicate complex legal concepts effectively.

 

 

Document Management:

         Maintain organized contract files, transaction records, and corporate documents

         Assist with policy and procedure development.

Professional Development:

         Stay current on legal trends and uphold high standards of ethics, professionalism, and confidentiality.

 

Qualifications
Education & Licensing:

         JD from an accredited law school

         Active bar admission

         Strong academic background with a focus in business, corporate, commercial, or related legal areas preferred


Experience:

         2–5+ years in transactional law with strong contract drafting/negotiation

         Background in corporate, real estate, finance, or business law

         Tax experience preferred.


Skills:

         Strong analytical, drafting, and negotiation skills

         Attention to detail

         Ability to manage multiple deadlines

         Excellent communication

         Business-minded judgment

         Proficiency with legal research and contract management tools.


Working Conditions

         Office-based, collaborative environment

Occasional after-hours work to meet transaction deadlines.
