Job Description
Robert Half Legal is partnering with a large, industry leading insurance company located in the loop that's seeking a Corporate Paralegal with at least 5-7+ years of experience to join their team. This Corporate Paralegal will assist in-house lawyers by working on all aspects of corporate governance, entity management, SEC filings, and more. This position offers a hybrid WFH model (2 days WFH, 3 days in-office). This position is paying between $100-130K. The company also offers a full suite of benefits including M/D/V, 401k, PTO, life insurance, LT/ST Disability, pre-tax commuter benefits, and more.
Corporate Paralegal Responsibilities:
- Maintain corporate records, minute books, and work plans, ensuring accuracy and organization.
- Coordinate and facilitate meetings for corporate entities, including preparation of necessary materials.
- Draft corporate minutes and resolutions in alignment with governance policies.
- Provide support for corporate governance initiatives and special projects.
- Assist with insurance filings and ensure proper record-keeping and data management.
- Assist with SEC filings including Section 16 filings for Form 4s.
- Assist with proxy statements and preparation of materials for Board of Directors and annual shareholder meetings.
- Assist attorneys with periodic audits and regulatory examinations as needed.

- Minimum of 5-7 years of experience as a Corporate Paralegal or in a similar role.
- Strong knowledge of corporate governance practices and procedures.
- Experience with SEC Section 16 filings - Form 4s required
- Experience with insurance holding company regulatory filings preferred
- Ability to draft and review corporate documents with attention to detail.
- Ability to work collaboratively within a team and adapt to changing priorities.
