We are looking for a Corporate Paralegal to join a real estate property and facilities management organization in Philadelphia, Pennsylvania. This contract-to-permanent opportunity is ideal for a legal specialist who can support corporate governance, contract administration, compliance activity, and transaction-related documentation in a fast-paced business environment. The role works closely with attorneys and internal stakeholders to keep entity records current, contracts organized, and regulatory obligations on schedule.

Responsibilities:
• Prepare, review, and manage a wide range of business agreements, including confidentiality documents, supplier arrangements, and service-related contracts.
• Coordinate the setup, upkeep, and wind-down of corporate entities such as corporations and LLCs, ensuring records remain accurate and complete.
• Complete and submit recurring corporate filings, including annual reports and similar state-required documents, within required deadlines.
• Organize and maintain governance materials such as minute books, resolutions, and other official corporate documentation.
• Assist with mergers, acquisitions, financing matters, and real estate-related transactions by gathering due diligence materials and monitoring document status.
• Research legal and operational issues involving corporate compliance, licensing requirements, and applicable regulations affecting business activities.
• Oversee contract tracking processes by updating the contract repository and monitoring renewal dates, notice periods, and performance obligations.
• Communicate with government agencies on filing matters and help resolve questions related to compliance or entity status.
• Support attorneys by assembling documents for meetings, negotiations, discovery, and other legal matters requiring organized records and background materials.
• Process applicant background reports for review, record approval outcomes in Yardi, prepare denial correspondence, and track certified payroll documentation in accordance with Department of Labor requirements.• Associate’s or Bachelor’s degree required; paralegal certification from an accredited program is preferred.
• At least 3 years of experience in a corporate or business paralegal role within a law firm or in-house legal department.
• Working knowledge of corporate governance, commercial contracts, entity maintenance, and regulatory filing practices.
• Experience supporting transactions such as mergers and acquisitions, financing matters, or real estate deals.
• Strong written and verbal communication skills with the ability to interact professionally across legal and business teams.
• High level of organization and attention to detail, with the ability to manage multiple deadlines and priorities effectively.
• Proficiency with Microsoft Office and legal or business systems such as LexisNexis, PACER, DocuSign, Concur, and Yardi.
• Solid analytical judgment and familiarity with compliance requirements, licensing matters, and records management expectations.
