Position Overview
We are seeking a skilled Business Litigation & Transactional Attorney to represent and advise corporate and small business clients on both disputes and transactional matters. The ideal candidate will split time between courtroom and transactional workhandling business litigation, breach of contract claims, commercial collections, and also drafting and negotiating business agreements, entity formations, and Secretary of State filings. This role requires excellent legal writing, client counseling, and case/project management skills to deliver sound legal solutions and minimize client risk.

Key Responsibilities

• Manage a portfolio of business litigation matters from intake through resolution, including drafting pleadings, motions, discovery requests and responses, and trial preparation and support.
• Represent clients in settlement negotiations, mediations, and court appearances; prepare witnesses and coordinate with experts as needed.
• Draft, review, and negotiate a wide range of commercial and corporate documents including LLC operating agreements, business sale agreements, vendor contracts, employee and independent contractor agreements, and service contracts.
• Prepare and file entity formation documents and other filings with the Secretary of State; advise clients on entity selection, governance, and compliance matters.
• Handle commercial collections matters, including demand letters, creditor representations, and enforcement actions.
• Conduct due diligence for transactions and prepare transaction checklists, closing documents, and post-closing compliance materials.
• Provide practical, business-focused legal advice to clients on contract interpretation, breach of contract claims, risk management, and dispute avoidance strategies.
• Manage case and transaction workflows, supervise and mentor junior attorneys and paralegals, and coordinate with external counsel when appropriate.
• Maintain accurate client files, billing records, and case management updates while ensuring compliance with professional ethics and client confidentiality.
• Identify and resolve conflicts of interest and help implement conflict-resolution strategies to limit exposure and preserve client relationships.

Qualifications

• Juris Doctor (JD) from an accredited law school and active license to practice in TX
• 3+ years of combined business litigation and transactional experience preferred; candidates with a strong mix of either litigation or transactional background with demonstrated business law skills will be considered.
• Proven experience drafting and negotiating LLC documents, business sale agreements, vendor contracts, and employee/independent contractor agreements.
• Experience with entity formations and filings, including Secretary of State submissions and post-formation compliance.
• Track record handling breach of contract claims, commercial collections, and enforcement actions; courtroom and trial experience a plus.
• Strong legal research, writing, and oral advocacy skills; ability to draft clear pleadings, correspondence, and transactional documents.
• Excellent client counseling skills with a business-oriented mindset and practical risk-management approach.
• Comfortable managing multiple matters, supervising support staff, and meeting billable and client-service expectations.
• Demonstrated conflict resolution and negotiation skills, including mediations and settlement strategy.
• Proficiency with case management, e-filing systems, Microsoft Office, and common practice management software.
• High ethical standards, attention to detail, and commitment to timely, responsive client communication.
