Job Description
We are looking for a detail-oriented Paralegal to support corporate and financing matters for a Long-term Contract position based in California. This opportunity is well suited for someone with experience handling entity-related documentation, maintaining organized corporate records, and assisting with transactional work. The role will contribute to legal operations by helping manage closings, compliance filings, and governance documentation in a fast-paced environment.

Responsibilities:
• Support the preparation and execution of financing-related matters, including coordination of closing activities and assembly of final transaction documents.
• Organize and maintain closing binders, signature pages, and other materials required to complete transactional records accurately.
• Assist with the formation of business entities and prepare related organizational documentation as needed.
• File and track Statements of Information and other state compliance documents to help keep entities in good standing.
• Monitor reporting deadlines and maintain corporate records with a high degree of accuracy and consistency.
• Provide day-to-day assistance on corporate governance matters, including document organization and administrative legal support.
• Help prepare and manage board consents, meeting minutes, and other governance materials under attorney direction.

• At least 3 years of paralegal experience with exposure to corporate legal work.

• Practical experience supporting entity formation and ongoing corporate maintenance activities.

• Familiarity with compliance tracking, state filings, and corporate record management.

• Experience assisting with financing transactions, document closings, or related legal processes.

• Strong organizational skills with the ability to manage multiple deadlines and document sets.

• Clear written and verbal communication skills and the ability to work effectively with legal and business stakeholders.
