Corporate Transactions Associate Attorney

Key Responsibilities

  • Support and lead mergers and acquisitions transactions, including due diligence, drafting, negotiation, and closing activities.
  • Draft and negotiate purchase agreements, operating agreements, shareholder agreements, buy-sell agreements, and commercial contracts.
  • Advise business owners and companies on entity formation, corporate structure, governance matters, and ongoing legal needs.
  • Provide strategic guidance on a wide range of corporate transactions and business initiatives.
  • Collaborate with attorneys across multiple practice areas to support complex transactions and achieve business objectives.

Qualifications / Nice to Have

Must Have
  • Juris Doctor (J.D.) from an accredited law school.
  • Active Illinois Bar membership or eligibility for admission.
  • 4+ years of corporate transactional experience within a law firm.
  • Experience handling mergers and acquisitions transactions.
  • Experience drafting and negotiating transaction documents, purchase agreements, operating agreements, shareholder agreements, and commercial contracts.
Nice to Have
  • Private equity transaction experience.
  • Venture capital transaction experience.
  • Experience advising on corporate governance matters.
  • Familiarity with securities law and related business matters.
  • Experience developing and maintaining business relationships.
