Key Responsibilities
- Support and lead mergers and acquisitions transactions, including due diligence, drafting, negotiation, and closing activities.
- Draft and negotiate purchase agreements, operating agreements, shareholder agreements, buy-sell agreements, and commercial contracts.
- Advise business owners and companies on entity formation, corporate structure, governance matters, and ongoing legal needs.
- Provide strategic guidance on a wide range of corporate transactions and business initiatives.
- Collaborate with attorneys across multiple practice areas to support complex transactions and achieve business objectives.
Qualifications / Nice to Have
Must Have
- Juris Doctor (J.D.) from an accredited law school.
- Active Illinois Bar membership or eligibility for admission.
- 4+ years of corporate transactional experience within a law firm.
- Experience handling mergers and acquisitions transactions.
- Experience drafting and negotiating transaction documents, purchase agreements, operating agreements, shareholder agreements, and commercial contracts.
Nice to Have
- Private equity transaction experience.
- Venture capital transaction experience.
- Experience advising on corporate governance matters.
- Familiarity with securities law and related business matters.
- Experience developing and maintaining business relationships.
