We are looking for a Corporate Transactional Attorney to join a respected legal team in Houston, Texas. This role is well suited for an attorney with solid experience handling business transactions who enjoys advising clients on complex corporate matters. The position offers the opportunity to work on sophisticated deals, build strong client relationships, and contribute within a collegial, team-oriented environment.
Responsibilities:
• Counsel clients on corporate governance, business transactions, and related legal matters across a range of industries.
• Manage mergers and acquisitions matters through each stage, including due diligence, structuring, drafting, negotiation, and closing activities.
• Prepare, revise, and negotiate purchase agreements, ancillary transaction documents, and other key commercial contracts.
• Support clients with entity-related matters, strategic transactions, and day-to-day corporate legal needs.
• Partner closely with clients and fellow attorneys to address multifaceted legal issues and advance transactional objectives.
• Conduct legal analysis to identify risks, propose practical solutions, and help clients make informed business decisions.• Approximately 3-5 years of experience practicing corporate or transactional law.
• Demonstrated background handling mergers and acquisitions matters is required.
• Strong ability to draft, review, and negotiate complex transactional and commercial documents.
• Sound analytical judgment with a practical, business-focused approach to legal counseling.
• Ability to manage assignments independently while contributing effectively within a collaborative legal team.
• Juris Doctor degree and active license to practice law in Texas.
• Excellent interpersonal and client-service skills with the ability to communicate clearly and professionally.
