Role: Senior Vice President – Legal
Location: NYC
Schedule: Mostly Remote!! Only expected to come in 1-2 times a month for in-person meetings.
Salary: $200K - $225K
A New York-based financial services firm that provides consultative solutions for complex financing structures is seeking an Attorney to serve as its Senior Vice President of Legal. This role reports directly to the firm’s Managing Director and General Counsel and will play a critical leadership role within the company’s corporate governance service line, and lead the company’s day to day legal needs. The position will partner closely with the Managing Director to support the company’s core business in structured finance and securitization, private credit, and special purpose vehicle (SPV) formation and management. This is a highly transactional, deal-oriented role requiring a commercially minded attorney who can independently lead legal workstreams while providing pragmatic, risk-adjusted advice to business stakeholders. This role is MOSTLY REMOTE!!! Must reside in the NY Metro area.
Job Duties:
- Lead legal support for the formation, structuring, governance and ongoing maintenance of Special Purpose Vehicles (SPVs).
- Advise on bankruptcy-remote structures and governance frameworks.
- Serve as an independent director for client bankruptcy-remote SPVs.
- Lead complex transactions including securitizations, private credit, CLOs, and structured financings.
- Draft and negotiate transaction documents.
- Manage external counsel and due diligence.
- Draft and negotiate commercial agreements.
- Develop scalable contract frameworks.
- Advise on regulatory matters applicable to the Company’s business.
- Support compliance and regulatory interactions.
- Supervise other team members in corporate governance and/or legal
Requirements:
- JD and bar admission.
- 4-7+ years relevant experience including at a law firm where the candidate represented issuers, underwriters, lenders and/or borrowers.
- Strong structured finance, securitization and/or lending background.
Skills & Competencies
- Strong commercial judgment.
- Advanced drafting and negotiation skills.
- Ability to operate independently.
