We are looking for a Corporate Attorney to join a respected legal practice in New York, New York. This opportunity is suited for an early-career associate who has built a strong foundation in corporate and commercial law and is ready to take on substantive client matters. The role offers exposure to transactional work, contract drafting, business structuring, and ongoing corporate advisory support in a collaborative law firm environment.


Responsibilities:

• Advise business clients on a range of corporate and commercial legal issues, helping them address day-to-day operational and transactional matters.

• Prepare, analyze, and refine legal documents such as formation records, governance agreements, purchase agreements, financing documents, and other commercial contracts.

• Support mergers and acquisitions by assisting with due diligence, coordinating documentation, and helping manage deal progress from initial review through closing.

• Partner with senior attorneys and clients to deliver practical counsel on business structures, ownership arrangements, contract strategy, and related corporate concerns.

• Review internal corporate practices and governing documents to identify compliance considerations tied to applicable laws, regulations, and industry standards.

• Conduct targeted legal research and develop written analyses to support client advice, transactional planning, and issue resolution.

• Organize and track multiple active matters, ensuring deadlines, document requests, and follow-up items are handled accurately and efficiently.

• Communicate clearly with clients and colleagues regarding legal developments, outstanding requirements, and the status of ongoing corporate matters.

Requirements

  • J.D. from an accredited law school.
  • Admission to the applicable state bar in good standing.
  • 2–3 years of relevant corporate legal experience.
  • Demonstrated experience with corporate transactions, commercial agreements, M& A, and business formation.
  • Excellent written and verbal communication skills.
  • Strong attention to detail and organizational skills.
  • Ability to work independently while also contributing effectively to a collaborative legal team.
  • Strong legal research, writing, drafting, and analytical abilities.
  • Professional judgment and the ability to handle confidential and sensitive client information.
