Merchant Banking and Real Estate Investing (MB & REI) is a direct private investing group within Morgan Stanley’s Investment Management Division (MSIM), one of the Firm’s three principal business lines. MB & REI Business Operations:

The Business Operations Group within MSIM’s MB & REI business (“the platform”) is a dedicated Business Unit resource for governance and operational matters. The group’s mandate includes: providing governance and oversight on regulatory projects; developing and maintaining operational policies, procedures and processes; developing and implementing systems and databases; interfacing with key control groups within the Firm; and managing ad hoc projects across the MB & REI platform.

The individual in this position will play a key role in legal entity governance activities for the MB & REI business, reporting to senior members of the Business Operations team

OVERVIEW OF ROLE

MB & REI continues to develop its global governance and legal entity management framework in response to the evolving domestic and international regulatory and compliance environment.

MB & REI utilizies ~ 2,500 legal entities across 37 jurisdictions that are positioned within investment structures designed to optimize investment returns. Legal entity management is the management and maintenance of these legal entities from set-up to dissolution. Good entity management is critical to MB & REI investments, investors and the Firm.

A robust governance framework, which includes promoting good legal entity management, is critical to:

· Managing operational risk

· Optimizing investor return

· Responding to internal groups (e.g., Internal Audit) and external regulatory authorities (e.g., the Federal Reserve Bank)

· Safeguarding the Morgan Stanley franchise

The individual will be a dedicated resource in the Business Operations team. In particular, the individual will be responsible for supporting the Business Operations team in:

· Developing MB & REI’s global governance framework

· Discharging legal entity management responsibilities

SPECIFIC RESPONSIBILITIES

· Assisting with the development, implementation and maintenance of legal entity governance policies, procedures and protocols

· Assisting with the development and maintenance of legal entity tools to facilitate compliance monitoring with legal entity governance requirements

· Preparing educational / training materials for the business relating to legal entity management related process, procedures, compliance tools etc. including: high-level overview presentations and detailed manuals / quick reference cards

· Monitoring compliance with specific policies, procedures and protocols on a periodic basis

· Oversee the completion of governance sessions held across the platform including scheduling, attending and reviewing and ensuring the close-out of follow-up points

· Attending governance sessions and supporting the completion of governance score cards for senior management

· Preparing ad-hoc legal entity management specific presentations for senior management

· Producing standing legal entity management reports with support from other support groups

· Dedicated interface for the business on legal entity management related issues / questions

· Working with key support groups and stakeholders in respect of legal entity governance requirements

REQUIREMENTS

Bachelor’s degree and four years relevant experience; legal, corporate secretarial and/or regulatory experience

Strong organizational skills, ability to manage multiple priorities simultaneously under pressure

Attention to detail, high level of initiative and resourcefulness and ability to problem solve, demonstrate good business judgment

Ability to work effectively with professionals at all levels within Morgan Stanley, team-orientated

Excellent written, verbal, and interpersonal communication skills

Proactive; self motivated and goal orientated
