Responsibilities

The Chief Compliance Officer is responsible for providing counsel and guidance related to the development, refinement, communication, and oversight of all facets of compliance. Partner with Legal, HR and Finance to create a world class ethics and compliance culture, with programs, policies, and procedures to drive compliance with the Company's policies and applicable laws and regulations. Advise on a wide range of topics including conflicts of interest, anti-bribery, lobbying and government affairs, and reporting and disclosure obligations.

Responsibilities:

  • Develops, initiates, maintains, and revises policies and procedures for the general operation of the Company's compliance program and its related activities to help prevent illegal, unethical, or improper conduct.
  • Establish and apply a system of internal controls and procedures that assure legal/fiscal compliance with laws, regulations and filing requirements.
  • Manages day-to-day operation of the ethics and compliance program.
  • Periodically reviews, benchmarks, and updates the Company's Code of Conduct and related policies to ensure continuing currency and relevance.
  • Collaborates with other departments (e.g., Finance, Human Resources, Legal) to direct compliance issues to appropriate existing channels for investigation and resolution.
  • Consults with attorneys to resolve difficult legal compliance issues.
  • Responds to alleged employee misconduct received via the ethics hotline and other channels, by following internal investigation protocols and guidance.
  • Acts to ensure that compliance issues/concerns within the Company are being appropriately evaluated, investigated, and resolved.
  • Monitor and research compliance trends for changes and advise corporate executives, management, and personnel accordingly.
  • Identifies potential areas of compliance vulnerability and risk; develops/implements corrective action plans for resolution of problematic issues and provides general guidance on how to avoid or deal with similar situations in the future.
  • Provides reports on a regular basis to keep the Board of Directors and senior management informed of the operation and progress of compliance efforts.
  • Institutes and maintains an effective compliance communication program for the organization, including promoting (a) use of the compliance hotline; (b) heightened awareness of the Code of Conduct and related policies, and (c) understanding of new and existing compliance issues and related policies and procedures.
  • Develops an effective compliance training program for all employees and tracks completion for reporting requirements.
  • Monitors the performance of the ethics and compliance program and related activities on a continuing basis, taking appropriate steps to improve its effectiveness.
  • Manages systems to ensure compliance with anti-bribery/anti-corruption and trade sanctions regulations, and counsels the business on those requirements.

Qualifications

Talent Requirements:(to perform this job successfully, an individual must be able to perform each essential duty satisfactorily)

  • Bachelor's degree or equivalent degree from an accredited university; JD or equivalent degree a plus.
  • 10 years of experience in ethics and compliance roles.
  • Experience in government contracting and public procurement processes.
  • Domain expertise in some of the following: transportation regulations and trade sanctions, conflict of interest and bribery laws.
  • Strong research, writing, analytical and oral communication skills.
  • Sound judgment, problem-solving and client management skills.
  • Ability to work independently, as well as in a team environment.
  • Ability to be flexible and adapt to a dynamic workload.
  • Strong organizational skills and focus on sustainable and efficient processes.
  • Strong sense of integrity and appreciation for confidentiality issues.
