Position Title: Subcontracts Manager

The Subcontracts Manager, will assist the VP, Corporate Counsel & Contracts with pre/post-award formation and administration of subcontracts and Procurement. Provide contractual direction to subcontractors and execute procurement actions to subcontracts and purchase orders. Interaction with United States Government (USG) procurement and Foreign Government (FG) officials, industry contractors, organizations, and ACT1 departments and management. Participates in proposal preparation activities including drafting terms and conditions for written agreements with partner companies and individuals such as non-disclosure agreements, teaming agreements, and consultant agreements and executes same.

  • Performs subcontract administration including monitoring Subcontract compliance and Subcontractor performance, preparing modifications, resolving problems, terminating, and closing out Subcontracts.
  • Experience with various types of contracts, including FFP, FFPLOE, CPFF Term and LOE, and T&M.
  • Experience with government subcontract file documentation, CPSR requirements, and the proposal process for federal acquisitions.
  • Reviews, analyzes, and negotiates subcontracts including terms and conditions, certifications and representations and other contract compliance matters.
  • Performs independent research of contract clauses, requirements and other terms and conditions in preparing negotiation positions.
  • Prepares modifications to subcontract and reviews USG/FG issued.
  • Coordinates review and final document execution with Subcontractor contract specialists.
  • Responds to customer (USG and non-USG) requests for contract related information and data, communicates with USG/FG procurement officials, industry contractors and organizations and ACT1 departments and management.
  • Reviews and analyzes USG/FG issued pre-solicitation notices, draft, and final solicitations to identify compliance matters specific to contracting requirements and procedures using Federal Acquisition Regulations (FAR), Federal Agency FAR supplements and FG Rules, internal company policies, and other contractual guidance.
  • Performs required OCI, compliance reviews and executes final ACT1 commitment to sell in accordance with proposed conditions.
  • Provides guidance to company Program Managers on acquisition topics/issues.
  • Establishes and maintains Contract Data Management records for all subcontracts.
  • Exercises the Delegation of Authority responsibilities as assigned.
  • Requires attention to detail, a solution-oriented mindset, and a mix of independent and team projects.
  • Other duties as assigned.

Requirements

  • At least 3 years of experience in Government industry Subcontracting organization.
  • Advanced knowledge of FAR and other agency regulations; maintains awareness of current events/changes in acquisition policy.
  • Experience negotiating and finalizing advanced acquisition matters such as acquisitions over $5M in value, sole source contracts, claims, requests for equitable adjustments, and terminations.
  • Experience in negotiating acquisitions with complexities including long-term efforts, numerous subcontractors, requirements for concurrent/overlapping actions to maintain schedules, and coordinating teams of subject-matter experts.
  • Independent and Team worker providing effective oral and written communication with USG customers, contractor personnel and company personnel.
  • Hybrid/Remote work environment.
  • Proficient with the standard MS Office tools and other similar web-based tools/computer skills.
  • Excellent written and verbal communication, organization, and interpersonal skills.
  • Leadership experience.
  • Requires attention to detail, a solution-oriented mindset, and a mix of independent and team projects.
  • Some overtime and limited travel may be required.
